Terms & Conditions

These Terms & Conditions explain the rules for using Asset Moth, including buyer purchases, digital downloads, product licensing, designer storefronts, seller responsibilities, marketplace moderation, referrals, credits, and account use.

Welcome to Asset Moth

Asset Moth is a digital design marketplace where buyers can purchase digital design files and approved designers can sell digital products through their own storefronts.

By using Asset Moth, creating an account, purchasing a product, applying to sell, uploading products, downloading files, or using any marketplace feature, you agree to these Terms & Conditions.

1. About Asset Moth

Asset Moth is a marketplace for digital design files. Products sold on Asset Moth may include SVG files, print-ready PNG files, seamless patterns, Canva templates, Procreate brushes and stamps, fonts, clipart, alphas, mockups, DTF-ready files, digital papers, business templates, stickers, printables, laser files, embroidery files, tumbler wraps, social media templates, website graphics, and other digital products.

Asset Moth does not sell physical products. Unless clearly stated otherwise, products sold through Asset Moth are digital downloads only.

2. Important definitions

“Asset Moth,” “we,” “our,” or “us” means the Asset Moth marketplace.

“User,” “you,” or “your” means anyone who visits, creates an account, buys, sells, uploads, downloads, or otherwise uses Asset Moth.

“Buyer” means a user who browses, purchases, downloads, saves, follows, or otherwise interacts with products on Asset Moth.

“Designer,” “Seller,” or “Creator” means an approved user who sells digital products through Asset Moth.

“Product” means a digital product listed for sale on Asset Moth.

“Digital file” means any downloadable or accessible file, template, design, font, graphic, brush, pattern, mockup, or other digital item.

“Storefront” means a seller’s public profile or shop page inside Asset Moth.

“License” means permission to use a digital product under specific rules. Buying a product does not mean buying ownership of the copyright or intellectual property.

3. Eligibility

You must be able to legally agree to these Terms to use Asset Moth. If you are under the legal age to enter a contract where you live, you may only use Asset Moth with permission and supervision from a parent or legal guardian.

Sellers must be at least 18 years old, or the age of majority where they live, whichever is older.

Asset Moth is not intended for children under 13. Users under 13 may not create accounts, apply to sell, purchase products, or submit personal information through Asset Moth.

4. Account rules

You may need an account to buy products, download purchases, save wishlist items, follow designers, apply to sell, upload products, or access dashboard features.

You agree to provide accurate account information, keep your login details private, use a secure password, update your information when needed, take responsibility for activity under your account, and contact Asset Moth if you believe your account has been accessed without permission.

You may not create fake accounts, use another person’s account without permission, sell or transfer your account, use Asset Moth for fraud, spam, scams, harassment, illegal activity, or try to bypass account limits, download protections, or marketplace rules.

5. Marketplace role

Asset Moth provides a marketplace where independent designers can sell digital products to buyers. Designers are independent sellers. They are not employees, agents, partners, or representatives of Asset Moth.

Asset Moth may review, approve, reject, remove, disable, or moderate products, accounts, storefronts, referrals, credits, sponsored placements, or other marketplace content when needed to protect buyers, sellers, the marketplace, or legal rights.

Buyer terms

6. Buyer purchases

When you purchase a product on Asset Moth, you are purchasing a license to use the digital product under the rules shown on the product page and these Terms. You are not purchasing ownership of the design, copyright, trademark, product files, source files, or intellectual property unless a separate written agreement clearly says otherwise.

7. Digital downloads

Asset Moth sells digital products only. Because digital files can be accessed or downloaded after purchase, buyers are responsible for reviewing the product listing, license information, software requirements, and product details before checkout.

Download access may require a valid account, completed order, successful payment, approved download permission, and compliance with these Terms.

8. Buyer license rules

Every product on Asset Moth includes personal use unless the product page says otherwise. Additional license options may be available depending on the seller’s product settings.

Unless a product page clearly gives additional permission, buyers may not resell digital files, share digital files, redistribute digital files, upload files to file-sharing websites, claim a design as their own, sell the design as a digital download, turn the design into another digital product for resale, include the file in bundles or memberships, give the file away for free, or use the design in a way that violates another person’s rights.

9. Personal use

Personal use is included with every product by default. Personal use may include personal craft projects, personal gifts, personal home decor, personal apparel, personal stickers, personal printables, and non-commercial creative projects.

10. Commercial use

Commercial use may be available on some products. If commercial use is offered, the product page may show a commercial license option, commercial license price, or commercial license description.

Commercial use does not automatically allow digital resale, file sharing, redistribution, selling editable files, selling templates using the original file, uploading to third-party marketplaces as a digital product, claiming the design as your own, trademarking the design, registering copyright for the design, or using the file in a way not allowed by the seller’s license.

11. Print-on-demand permission

Each product may show whether print-on-demand use is allowed or not allowed. If a product says POD allowed, you may use the product with print-on-demand services only within the license limits shown on the product page. If a product says POD not allowed, you may not upload that design to print-on-demand platforms or services.

12. AI disclosure

Products on Asset Moth may include AI disclosure labels such as No AI Used, AI Assisted, or AI Generated. These labels are intended to help buyers make informed decisions.

13. Refunds for buyers

Because Asset Moth sells digital products, purchases are generally final once files are accessed, downloaded, or made available.

Refunds may be considered at Asset Moth’s discretion in situations such as duplicate accidental purchase, missing or inaccessible files, wrong file uploaded by the seller, product materially different from the listing, technical access issues that cannot be resolved, or unauthorized purchase confirmed after review.

Refunds may not be granted for changing your mind, not reading the product description, not understanding software requirements, buying the wrong product by mistake, expecting a physical item, lack of knowledge about how to use the file, compatibility issues not caused by the seller or Asset Moth, or violating the product license or these Terms.

14. Buyer credits and referrals

One user account may be attached to only one immutable referrer. The referrer and new buyer each earn $1.50 after the buyer’s first completed order with a positive payment after credits. Fully credit-funded, refunded, failed, cancelled, unpaid, and unresolved review orders do not qualify; an order legitimately approved and completed after review may qualify.

Asset Moth may offer buyer referral links, marketplace credits, rewards, discounts, or promotional credits. Credits never expire, may only be used on Asset Moth, and may not be transferred, sold, exchanged for cash, or used outside the marketplace. Credits redeemed on an order are not automatically restored after a refund during this launch version. Self-referrals, duplicate accounts, fraud, and abuse are forbidden. Asset Moth may reverse fraudulently awarded credit with an auditable adjustment; existing ledger history is never rewritten.

Seller and designer terms

15. Applying to sell

Users may apply to become approved designers on Asset Moth. Asset Moth may review applications based on marketplace fit, product quality, originality, portfolio, design type, seller information, AI usage, and other business needs. Approval to sell is not guaranteed.

16. Seller storefronts

Approved designers may create a public storefront inside Asset Moth. Sellers may be able to manage their display name, store URL name, logo or avatar, banner image, bio, store announcement, social links, website link, featured products, product categories, and store SEO fields.

Seller storefront content must be accurate, lawful, respectful, and not misleading.

17. Seller product listings

Sellers are responsible for creating accurate product listings, including product title, descriptions, preview images, price, tags, category, license settings, POD permission, AI disclosure, usage limits, and software requirements if needed.

Sellers may not upload misleading product descriptions, fake previews, stolen files, copied designs, keyword spam, unrelated tags, or content that violates these Terms.

18. Seller ownership and rights

Sellers may only upload products they own, created, have licensed properly, or have full legal permission to sell. By uploading a product to Asset Moth, sellers confirm that they have the right to sell the product and that the product does not violate someone else’s copyright, trademark, privacy rights, publicity rights, or other legal rights.

Sellers keep ownership of their own original work, but they give Asset Moth permission to display, promote, index, market, store, process, and deliver their product listings through the marketplace.

19. Prohibited seller content

Sellers may not upload, list, sell, or promote stolen designs, copyright-infringing content, trademark-infringing content, counterfeit goods, unauthorized fan art, unauthorized celebrity images, unauthorized brand logos, misleading mockups, false claims, malware, harmful files, pornographic or sexually exploitative content, hateful content, illegal content, scam files, or products that violate payment processor rules or Asset Moth policies.

20. AI disclosure for sellers

Sellers must accurately label each product using the AI disclosure options available in the product editor. Sellers may not hide, misrepresent, or falsely label AI-generated or AI-assisted products.

21. Seller license settings

Sellers are responsible for setting accurate license options. Every product includes personal use by default. Sellers may choose whether to offer additional license options when available. Sellers must clearly mark whether POD use is allowed or not allowed.

22. Digital resale is prohibited

Digital resale, redistribution, file sharing, and claiming another designer’s work as your own are prohibited by default. Sellers may not purchase products from Asset Moth and relist them as their own digital products.

23. Product review and approval

Asset Moth may require product review before products become public. Asset Moth may approve, reject, disable, archive, or remove products for reasons including poor quality, incomplete listing, wrong category, misleading title or description, missing files, incorrect license information, incorrect AI disclosure, stolen or infringing content, policy violations, buyer complaints, technical problems, or marketplace quality control.

24. Seller pricing

Sellers may set product prices within marketplace rules. Asset Moth may set minimum prices, maximum prices, discount rules, sale rules, bundle rules, sponsored listing pricing, category pricing rules, or other pricing controls.

25. Marketplace commission

Asset Moth may collect a marketplace commission from seller sales. Commission rates, fees, payout timing, and seller earning calculations may be shown in seller settings, onboarding materials, or marketplace policy updates.

Final seller earnings may be affected by payment processor fees, refunds, chargebacks, referral commissions, taxes, discounts, credits, bundle rules, sponsored listing fees, or other marketplace adjustments.

26. Payments and seller payouts

Asset Moth may use a third-party payment processor for payments and seller payouts. Sellers may be required to create or connect a payment account, verify identity, provide tax information, accept payment processor terms, and complete onboarding before receiving payouts.

27. Refunds, chargebacks, and seller earnings

If a buyer receives a refund, dispute, chargeback, payment reversal, or order adjustment, seller earnings may be reduced, reversed, held, or deducted.

28. Taxes

Sellers are responsible for understanding and handling their own income taxes, business taxes, records, and tax obligations outside Asset Moth checkout. For Asset Moth marketplace checkout at US launch, applicable sales tax is handled through Asset Moth’s Stripe Tax configuration. Asset Moth does not provide tax advice.

29. Seller referrals

A buyer who later becomes a seller keeps the same original referrer. That referrer and the approved seller each earn $5.00 only after the seller’s first completed, non-refunded sale. Application or approval alone does not qualify.

Asset Moth may offer designer referral rewards. Asset Moth may deny, pause, revoke, or adjust referral rewards if there is fraud, self-referral, duplicate accounts, abuse, fake sales, chargebacks, refunds, policy violations, or technical errors.

30. Creator ranks

Asset Moth currently calculates creator ranks only from qualifying completed paid sales: Bronze at 0, Silver at 25, Gold at 100, Platinum at 500, and Diamond at 1,500. One order counts once for each participating seller regardless of item count. Full or partial cumulative refunds remove a seller’s participation only when the platform’s proportional allocation leaves that seller with no positive merchandise value. Asset Moth may change or discontinue the creator-rank program in the future by updating these Terms and applicable program information.

31. Sponsored listings and featured placements

Asset Moth may allow sellers to promote products, storefronts, collections, or bundle participation through sponsored listings or featured placements. Asset Moth does not guarantee sales, clicks, views, ranking, or profit from sponsored listings.

32. Bundle events

Asset Moth may offer marketplace-created bundle events. Bundle participation may include special rules for submission deadlines, product limits, approval review, bundle pricing, revenue split, marketplace commission, download access, promotion, and refund handling.

General marketplace terms

33. Intellectual property

Asset Moth owns or controls the Asset Moth name, branding, website design, platform features, page layouts, marketplace structure, software, content created by Asset Moth, and related intellectual property.

Sellers own their own original product content unless otherwise agreed. Buyers receive only the license rights granted through the product purchase.

34. Copyright and infringement reports

Asset Moth respects intellectual property rights. If you believe a product, listing, image, storefront, or other content violates your copyright, trademark, or other rights, contact Asset Moth with enough information to review the claim.

Asset Moth may remove or disable content that appears to violate intellectual property rights and may restrict users who repeatedly upload infringing content.

35. Prohibited user activity

Users may not break the law, violate these Terms, use Asset Moth for fraud or scams, harass others, upload malware, bypass download protections, scrape marketplace content, manipulate search or marketplace activity, create fake purchases, use stolen payment methods, impersonate others, or violate intellectual property rights.

36. Account suspension or termination

Asset Moth may suspend, restrict, disable, or close an account if the user violates these Terms, creates risk, harms the marketplace, breaks the law, abuses features, infringes rights, or creates security concerns.

37. Third-party services

Asset Moth may use third-party services for payments, hosting, email, analytics, security, support, file storage, fraud prevention, and marketplace tools. Third-party services may have their own terms and privacy policies.

38. Website availability

Asset Moth may update, pause, repair, test, change, or discontinue parts of the website at any time. Asset Moth does its best to keep the marketplace available, but does not guarantee that the site will always be uninterrupted, error-free, secure, or available.

39. Search, ranking, and visibility

Asset Moth may use search, filters, categories, tags, product quality, sales, creator rank, sponsored listings, marketplace activity, buyer behavior, or other factors to organize and display products.

Asset Moth does not guarantee sellers any specific search placement, ranking, traffic, views, clicks, sales, followers, income, or exposure.

40. Disclaimers

Asset Moth is provided on an “as is” and “as available” basis. Asset Moth does not guarantee that every product will meet every buyer’s needs, every file will work with every software program, every seller will make sales, every download will be uninterrupted, or marketplace features will always stay the same.

41. Limitation of liability

To the fullest extent allowed by law, Asset Moth is not responsible for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, lost data, lost business, lost goodwill, or marketplace interruption.

42. Indemnification

You agree to defend, indemnify, and hold Asset Moth harmless from claims, losses, damages, costs, fees, or expenses related to your use of Asset Moth, your violation of these Terms, your uploaded content, your product listings, your storefront content, your infringement of another person’s rights, your misuse of digital products, your violation of law, or your fraud, abuse, or misconduct.

43. Changes to these Terms

Asset Moth may update these Terms from time to time. When this page is updated, the “Last Updated” date may also be updated. Your continued use of Asset Moth after changes means you accept the updated Terms.
